These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and AuthorityPrompt, Inc., a Delaware corporation ("AuthorityPrompt," "we," "us," or "our"). These Terms govern your access to and use of our website at authorityprompt.com, platform, applications, APIs, and related services (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 14) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

5. User Content

5.1 Your Content

"User Content" means any data, text, files, images, or other materials you upload, submit, or create through the Service, including company profiles, verified claims, articles, and FAQ entries.

5.2 Ownership

You retain all ownership rights in your User Content. AuthorityPrompt does not claim ownership of your User Content.

5.3 License Grant

By submitting User Content, you grant AuthorityPrompt a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content solely for the purpose of operating and providing the Service. This includes:

You acknowledge and agree that AI-readable formats generated from your Company Profile (JSON-LD, Markdown, YAML, HTML, TXT, JS) are intended to be publicly accessible. Once deployed via the JS script or Ingest Generator URLs, this data may be indexed by search engines, crawled by AI systems, cached by third parties, and used by large language models. AuthorityPrompt is not responsible for how third parties use publicly available data.

The Service, including its software, design, features, documentation, trademarks, logos, and all related intellectual property, is owned by AuthorityPrompt, Inc. or its licensors and is protected by U.S. and international intellectual property laws, including copyright, trademark, patent, and trade secret laws.

6.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription or account.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without obligation to you.


7. Subscriptions and Payment

7.1 Plans

The Service offers Free, Pro, and Enterprise plans. Features and limits vary by plan. Current pricing and features are available at authorityprompt.com/prices.

7.2 Payment

Paid subscriptions are billed through Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel.

7.3 Cancellation

You may cancel your subscription at any time through the Stripe customer portal (accessible via Dashboard → Settings). Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

7.4 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.

7.5 Free Plan

The Free plan is provided at our discretion and may be modified or discontinued at any time with reasonable notice.


8. Third-Party Services and Integrations

The Service integrates with third-party services including Google Analytics 4, Google Search Console, Cloudflare, Stripe, and various LLM providers (OpenAI, Anthropic, Google, Perplexity, xAI, Groq). Your use of these integrations is subject to the respective third-party terms and privacy policies. AuthorityPrompt is not responsible for the availability, accuracy, or practices of third-party services.


9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHORITYPROMPT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

AuthorityPrompt does not guarantee specific results from use of the Service, including any particular level of AI visibility, search engine ranking, or LLM citation. AI systems are operated by independent third parties, and we cannot control how they process or present information.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

10.1 AUTHORITYPROMPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 IN NO EVENT SHALL AUTHORITYPROMPT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO AUTHORITYPROMPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless AuthorityPrompt, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

AuthorityPrompt respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).

14. Dispute Resolution — Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware, unless you and AuthorityPrompt agree otherwise. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

YOU AND AUTHORITYPROMPT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

14.4 Exceptions

Notwithstanding the above, either party may: (a) bring an individual action in small claims court for disputes within the court's jurisdiction; (b) seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

You may opt out of the arbitration and class action waiver provisions by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, email, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved under Section 15 (Governing Law).


15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

If Section 14 does not apply (or you have opted out), any disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You consent to the personal jurisdiction of such courts.


16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AuthorityPrompt regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

AuthorityPrompt shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet or infrastructure failures.

We may send notices to you via email (to the address associated with your account) or through in-platform notifications. Notices to us must be sent to [email protected].

16.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
